These terms and conditions outline the rules and regulations for the use of Dataaxy's Website, located at https://dataaxy.com/. By accessing this website, we assume you accept these terms and conditions. Do not continue to use Dataaxy if you do not agree to take all of the terms and conditions stated on this page.

The following terminology applies to these Terms and Conditions, Privacy Statement, and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company’s terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves. All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of France. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services, you consent to the collection and use of this information, including the transfer of this information to the United States, Canada, and/or other countries for storage, processing, and use by Dataaxy S.A.S and its affiliates.

You are responsible for your use of the Services and for any Content you provide, including compliance with applicable laws, rules, and regulations.

5. Using the services

You may use the services only in compliance with these Terms and all applicable laws, rules, and regulations. Our Services evolve constantly. As such, the Services may change from time to time, at our discretion.

6. Payments

If you purchase any of our paid Services ("Premium Services"), you agree to pay us the applicable fees and taxes. Failure to pay these fees may result in the termination of your subscription.

We use Stripe for processing payments. We do not store your credit card information on our servers; it is secure with Stripe. By using Stripe to make payments, you agree to their Terms of Service and Privacy Policy.

6.1 Currency

All transactions processed on or through Dataaxy are processed in United States Dollars (USD). It is the responsibility of the user to understand the conversion rate and any conversion fees that might be assessed by their bank or credit card, if they are using a currency other than USD.

7. Disclaimers and limitations of liability

The Services provided by Dataaxy S.A.S are offered on an "as is" basis. This means that Dataaxy S.A.S, along with its suppliers and licensors, makes no specific guarantees or warranties of any kind, either express or implied, including but not limited to warranties of merchantability, suitability for a particular purpose, and non-infringement of proprietary rights.

Furthermore, neither Dataaxy S.A.S nor its suppliers or licensors will be held accountable for any subject matter of this agreement under any circumstances, including contract, negligence, strict liability, or other legal or equitable principles, for any damages that could be considered special, incidental, or consequential.

8. General

These Terms of Service, in combination with the Privacy Policy and any other amendments or additional agreements you may enter into with Dataaxy S.A.S in connection with the Services, compose the entire agreement between you and Dataaxy S.A.S. This agreement supersedes and takes precedence over all prior understandings and agreements between you and Dataaxy S.A.S.

Should any provision of these Terms be considered invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision will not influence the validity or enforceability of the remaining provisions of these Terms, which will continue to be in full force and effect.

Any failure by Dataaxy S.A.S to enforce a right or provision under these Terms should not be interpreted as a waiver of such right or provision. Additionally, no waiver of any term of these Terms will be considered a further or continuous waiver of such term or any other term.

Dataaxy S.A.S reserves the right to modify these Terms at its discretion. The most current version of the Terms will always be published on our website. If you continue to access or use the Services after the revised Terms become effective, you agree to be bound by the updated Terms. If you do not accept the revised Terms, you must cease use of the Services.

Unless expressly stated otherwise, all rights not explicitly granted in these Terms are reserved by Dataaxy S.A.S. The section titles in this agreement are provided for convenience only and carry no contractual or legal effect.

This Agreement shall commence on the date of its inception, December 17, 2022.

9. Termination

Dataaxy S.A.S may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Dataaxy account, you may simply discontinue using the Services.

10. Dispute resolution

You agree that any disputes arising out of or relating to these Terms or the Services will be subject to the laws of France, regardless of conflict of laws rules, and to the jurisdiction of the courts located in France.

11. Amendments

Dataaxy S.A.S reserves the right to amend these Terms at any time and without notice, and it is your responsibility to review these Terms for any changes. Your use of the Services following any amendment of these Terms will signify your assent to and acceptance of its revised terms.

12. Miscellaneous

If any part of these Terms is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
